Notice of Privacy Practices

This Notice describes how medical and personal information about you may be used and disclosed by UCan Virtual Health, Inc. (“UCan,” “we,” “us,” or “our”), a telehealth Referral and Listing platform, and how you can access this information. Please review this Notice carefully.

1. Who We Are

UCan is a telehealth Referral and Listing service that connects individuals with independent healthcare providers, including providers delivering services under Florida telehealth laws. UCan does not provide medical care. However, UCan may create, receive, maintain, or transmit your protected health information (“PHI”) to facilitate referrals, coordinate services, and support communications between you and providers.

2. Our Legal Duties

We are required by the Health Insurance Portability and Accountability Act (HIPAA) and applicable Florida law to:

• Maintain the privacy and security of your PHI

• Provide you with this Notice of our legal duties and privacy practices

• Notify you following a breach of unsecured PHI, as mandated by federal and Florida law

• Follow the terms of this Notice currently in effect

We also comply with the Florida Information Protection Act, which governs data breach notification obligations for Florida residents.

3. How We May Use and Disclose Your Information

A. Referral and Care Coordination

We may use and disclose your information to:

• Match you with appropriately licensed and authorized  healthcare providers

• Transmit referral and intake information to the healthcare providers you select

• Facilitate appointment scheduling and communications

B. Payment and Operations

We may use and disclose information to:

• Support billing, payment processing, or eligibility verification

• Operate, maintain, and improve our platform

• Conduct quality assurance and internal business operations

C. Communications

We may contact you by phone, email, or text (including automated messages, where permitted) regarding:

• Referrals and scheduling

• Service updates

• Administrative notices

4. Additional Protections under Florida Law

Florida law may provide additional protections for certain types of information. Where applicable, we will comply with stricter requirements.

A. Sensitive Health Information

Certain records may require heightened protections or consent before disclosure, including:

• Mental health records

• Substance use disorder treatment records (subject to federal law, including 42 CFR Part 2, where applicable)

• HIV/AIDS-related information

B. Minor Information

Florida law provides specific rules regarding parental access and consent for minors’ health information. We will apply applicable state requirements when handling such information.

C. Telehealth-Specific Considerations

• We facilitate connections to providers who must comply with Florida telehealth standards, including patient confidentiality

• We do not record telehealth sessions unless explicitly disclosed and consented to by you

D. Substance Use Disorder (SUD) Information

Certain health information related to substance use disorder diagnosis, treatment, or referral may be subject to additional federal protections under 42 CFR Part 2. To the extent we create, receive, or transmit information that is subject to 42 CFR Part 2 (“Part 2 Information”):

• We will not use or disclose such information without your written consent, except as expressly permitted or required by law.

• Your written consent must generally specify the recipient, purpose, and scope of the disclosure.

• You may revoke your consent at any time, subject to applicable legal limitations.

• Redisclosure of Part 2 Information by a recipient may be prohibited unless expressly permitted by law.

We may use or disclose Part 2 Information without your consent only in limited circumstances permitted by law, such as:

• Medical emergencies

• Qualified service organization agreements (e.g., certain vendors performing services on our behalf)

• Audits and program evaluations

• Court orders meeting specific legal requirements

Where applicable, we will provide required notices prohibiting unauthorized redisclosure of Part 2 Information.  If your information is not subject to 42 CFR Part 2, it will be handled in accordance with applicable provisions of HIPAA and Florida law.

5. Uses and Disclosures without Your Authorization 

We may disclose your information without your authorization as permitted or required by law, including:

• Public health activities

• Health oversight

• Judicial and administrative proceedings

• Law enforcement

• To prevent a serious threat to health or safety

6. Uses and Disclosures Requiring Authorization 

We will obtain your written authorization for:

• Marketing uses where required by law

• Sale of PHI

• Uses not otherwise described in this Notice

You may revoke your authorization at any time in writing.

You have the following rights under federal and applicable Florida law:

• Right to Access and Obtain Copies of your Information

• Right to Amend/Request Corrections

• Right to an Accounting of Disclosures

• Right to Request Restrictions

• Right to Confidential Communications

• Right to a Copy of This Notice

We will respond to requests in accordance with applicable law.

8. How We Protect Your Information

We implement reasonable administrative, technical, and physical safeguards to protect your information, including encryption, access controls, and secure data storage.

9. Independent Third-Party Providers

Providers available through our platform are independent of UCan and maintain their own privacy practices. Once your information is shared with a provider, their Notice of Privacy Practices will apply.

10. Breach Notification

In the event of a breach of unsecured personal information or PHI, we will provide you with notice, as required by HIPAA and the Florida Information Protection Act.

11. Changes to this Notice

We reserve the right to change this Notice at any time. Updated versions of the Notice will be posted on the UCan platform with a revised effective date.

13. Complaints

If you believe your privacy rights have been violated, you may file a complaint with us or with the U.S. Department of Health and Human Services. You will not be penalized for filing a complaint.
